Palate Project's Affiliate Terms & Conditions

Payout Details
Eligible rewards are for the first 1-3 orders per referred customer.
Payout is 10% of product order sales for accounts where accumulated referrals are 1-49 orders.
Payout is 15% of product order sales for accounts where accumulated referrals are 50 or more orders.

Action Locking: Actions are locked 21 day(s) after they are tracked
Payout Scheduling: Approved transactions are paid 31 day(s) after end of the month they lock

Currency
Financial transactions covered by this Template Terms will be processed in the USD currency. Currency exchanges will occur when you or your partner(s) have set a different default currency in account settings.

Change Notification Period
The Template Terms can be changed or cancelled with 1 day notification to the Affiliate Partner.

Reversal Policy
Reversal of performance advertising actions are decided by the Advertiser governed by a max reversal percentage of 100%

Affiliate Partner Tracking Pixel
Advertiser does NOT allow Affiliate Partner to fire their tracking pixel when the consumer action is completed.

Affiliate Partner Search Policy:
Affiliate Partners are not allowed to bid on the Palate Project trademark or any
variation of the Palate Project trademark including all misspellings through Google,
Bing, Yahoo or other Search Engines. Affiliate Partners are not allowed to direct link
to Palate Project from paid ads from Google, Bing, Yahoo or other Search Engines.
Affiliate Partners found violating the above Paid Search Policy will immediately be
removed from the Palate Project Affiliate Partner Program and have all commissions
reversed.

Affiliate Partner Coupon Policy:
Affiliate Partners may only promote valid offers available to partners via the Palate Project
Sake program powered by Referral Candy. Use of coupons/promotional codes not currently
available to affiliate partners through Referral Candy will void commission and cash back.
Affiliate Partners must remove coupons/promotions no longer valid and must not use
misleading ad copy or messaging expired offers.
Affiliate Partners found violating the above Coupon Policy will immediately be
removed from the Palate Project Affiliate Partner Program and have all commissions
reversed.


Affiliate Partner Unsuitable Web Site Policy:
You may not place Links to Palate Project Web site or Web site content on Web sites
nor may you promote Palate Project using methods that Palate Project deems, at its sole discretion, unsuitable for its Program, including, but not limited to, Web sites or
promotional methods that:
1. promote sexually explicit materials;
2. promote violence, promote discrimination based on race, sex, religion,
nationality, disability, sexual orientation, or age;
3. promote illegal activities;
4. are in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or
racially, ethnically, or otherwise objectionable;
5. incorporates any materials which infringe or assist others to infringe on any
copyright, trademark or other intellectual property rights or to violate the law;
6. any other website that you operate, explicitly or implied in a manner which
resembles our website nor design your website in a manner which leads customers to believe you are Palate Project.com or any other Affiliate Partnered business;
7. any promotion via traffic sharing programs, pop-ups or pop-unders; or
8. may damage or tarnish the goodwill of Palate Project.
Affiliate Partners found violating the above Unsuitable Web Site Policy will
immediately be removed from the Palate Project Affiliate Partner Program and have all commissions reversed.

Affiliate partner Unsuitable Action Policy:
Affiliate Partner shall not transmit any so-called “interstitials,” “Parasiteware,”
“Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations
and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to
consumers from the time the consumer clicks on a qualifying link until such time as
the consumer has fully exited the Palate Project.com site (i.e., no page from our site or
any Palate Project.com’s content or branding is visible on the end-user’s screen). As
used herein “Parasiteware™” and “Parasitic Marketing” shall mean an application
that (a) through accidental or direct intent causes the overwriting of Affiliate Partner
and non Affiliate Partner commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing, pop ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or directory engines); (c) set commission tracking cookies through loading of the Palate Project.com site in IFrames, hidden links and automatic pop ups that open Palate Project.com’s site; (d) targets text on web sites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Affiliate Partner banners with any other banners, other than those that are on web sites 100% owned by the owner of the application. Affiliate Partners found violating the above Unsuitable Action Policy will immediately be removed from the Palate Project Affiliate Partner Program and have commissions reversed

Copyright
All content included on or made available through any Palate Project Sites, Applications and Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations is the property of Palate Project or its content suppliers and protected by United States and international copyright laws. The compilation of all content included in or made available through any Palate Project Sites, Applications and Services is the exclusive property of Palate Project and protected by U.S. and international copyright laws.

Indemnification
You agree to defend, indemnify and hold harmless Palate Project and its officers, directors, employees, agents, licensors and content providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms.

Termination

1. Termination by Either Party
Either Palate Project or the Affiliate Partner may terminate this Agreement at any time, for any reason, upon written notice to the other party.

2. Termination for Cause
Palate Project may immediately terminate this Agreement, without prior notice, if the Affiliate Partner:
(a) violates any provision of these Terms;
(b) engages in fraudulent, deceptive, or illegal activities;
(c) violates any applicable law or regulation; or
(d) harms or may reasonably be expected to harm Palate Project’s reputation, business, or goodwill.

3. Effect of Termination
Upon termination of this Agreement:
(a) the Affiliate Partner shall immediately cease using any Palate Project trademarks, logos, links, and promotional materials;
(b) all licenses and rights granted under these Terms shall automatically terminate;
(c) all unpaid or pending commissions may be withheld, reversed, or cancelled if related to fraud, violations, or invalid transactions.

4. Payment of Earned Commissions
Subject to these Terms, Palate Project will pay valid and approved commissions earned prior to the effective date of termination in accordance with the applicable payout schedule.

5. Survival
The provisions relating to Indemnification, Dispute Resolution, Governing Law, and any other provisions which by their nature should survive termination shall survive termination of this Agreement.

Disputes

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND IMPACTS HOW CLAIMS YOU AND Palate Project MAY HAVE AGAINST EACH OTHER ARE DETERMINED.

Agreement to Arbitrate
You and Palate Project agree that any claim or dispute at law or equity that has arisen or may arise between us relating in any way to this or previous versions of the Terms will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify and the case proceeds as an individual (non-class, non-representative) case. The Federal Arbitration Act applies to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms as a court would.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to National Registered Agents, Inc., 160 Greentree Dr., Suite 101, Dover, Delaware, 19904. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules. The AAA's rules are available at adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules.

The arbitration hearing will be held in the United States. You or Palate Project may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and Palate Project subject to the arbitrator’s discretion to require an in-person hearing.

The arbitrator will decide all claims in accordance with applicable law. The arbitrator shall not be bound by rulings in prior arbitrations involving other Palate Project members, but is bound by rulings in prior arbitrations involving the same Palate Project member to the extent required by applicable law. The arbitrator's award shall be final and binding and judgment on the arbitrator’s award may be entered in any court having jurisdiction.

Prohibition of Class, Representative, and Consolidated Actions

You and Palate Project agree that each of us may bring claims against the other only on an individual or entity basis, and not as a plaintiff or class member in any purported class or representative action. Unless both you and Palate Project agree otherwise, the arbitrator may not join more than one party’s claims, and may not adjudicate or determine any form of a representative, class, or consolidated proceeding. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party bringing the claim, if such relief is warranted by the facts and law. Any relief awarded by the arbitrator will not affect other Palate Project members.

If for any reason a claim proceeds in court rather than in arbitration both you and Palate Project each waive any right to a jury trial. You and Palate Project also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Governing Law and Jurisdiction

Any dispute or claim relating in any way to these Terms or previous versions of these Terms, shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice or conflict of law provision or rule.

Unless you and Palate Project agree otherwise, in the event that the Agreement to Arbitrate above is found not to apply to you or to a particular claim or dispute, any legal suit, action or proceeding arising out of or related to these Terms or previous versions of these Terms shall be instituted exclusively in the federal or state courts located in Los Angeles, California. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver of these Terms by Palate Project shall be deemed a further or continuing waiver of such Terms or any other term or condition, and any failure of Palate Project to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Entire Agreement

These Terms constitute the sole and entire agreement between you and Palate Project with respect to Palate Project’s Affiliate Program and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Affiliate Program.

Modifications

Palate Project reserves the right to make changes to these Terms. If Palate Project makes a material modification to these Terms, we will notify you by displaying a prominent announcement above the text of the Terms, as appropriate, for 1 day, and that will be deemed sufficient notification of such changes.

If you choose to continue to be the Affiliate Partner after receiving notice of such modification as set forth herein, you agree that by doing so you will be deemed to accept the new terms and conditions.
